Constitution of the South Devon Cruiser Racing Association(SDCRA)
1 The object of the SDCRA is:-
     
a) to promote Cruiser Racing in South Devon.
     
b) to influence South Devon Yacht or Sailing Clubs to have a program of races or events which meet the needs of its Members.
     
c) to promote these races or events to its Members.
2 A Member of the SDCRA is a person who:-
     
a) is an Owner/Skipper of a yacht and only one Member is permitted per yacht.
     
b) is a full Member of any South Devon Yacht or Sailing Club affiliated to the RYA.
     
c) has paid their subscription to the SDCRA for the current year starting 1st Jan to 31st Dec.Members who are Members on the 31st Dec in any year remain Members until 31st March of the following year.
     
d) has provided the Secretary with an up-to-date address and where possible an e-mail address.
     
e) continues to keep the criteria for membership
3 A Member of the SDCRA:-
     
a) can join in a SDCRA program of races or events which individually may be run by any RYA affiliated South Devon Yacht or Sailing Club or the SDCRA as Organising Authority.
     
b) agrees that membership of the SDCRA will NOT remove the requirement for boat Owners/Skippers to:-
     
       i register and pay the entry fee for a race or event with the Organising Authority.
     
      ii conform with any rules, regulations and minimum requirements involved with the race or event.
     
     iii have a boat that meets the minimum requirements in the Notice of Race of the Organising Authority.
     
c) will provide on request proof of membership of a South Devon Yacht or Sailing Club.
     
d) accepts that any notice sent by the SDCRA to the address in Clause 2 shall be deemed to have been duly delivered.
     
e) will be deemed to have given consent to the holding of relevant personal data for the purposes of the Data Protection Act 1984
     
f) accepts that the safety of a boat, the Crew and the boats entire management including insurance shall be the sole responsibility of the Owner/Skipper of the boat.
4 A General Meeting of Members shall take place:-
     
a) once a year between November 1st and January 31st.
     
b) by the committee giving twenty one days notice in writing to Members. The notice shall contain the reason for the meeting, the venue and time.
     
c) a written request for a General Meeting is received by the Secretary signed by at least 5 Members. The procedure in b) above shall be followed in order to convene a General Meeting within 6 weeks receiving the request.
5 At a General Meeting of the SDCRA:-
     
a) a Member and any Permanent Crew of their boat may attend.
     
b) a Member only may vote but if a Member cannot attend then a Member can elect that any of the Permanent Crew of their boat can vote on their behalf. A signed letter from a Member authorising a Permanent Crew to vote shall be available to the committee at the meeting.
     
c) any proposal shall be voted, by show of hands, using a simple majority of Members present. In the event of a tie in the voting the Chairman casts an additional vote.
     
d) the Chairman or, in their absence, a Chairman elected at Meetings by those Members present shall preside.
6 The Agenda for the Annual General Meeting shall include:-
     
a) Presentation and discussion on the report and accounts for the year to 31 October.
     
b) Propose and agree an Auditor for the following year.
     
c) Nomination and Election of Committee Members.
     
d) The Membership fee for the following year starting January 1st and terminating on 31st December.
     
e) Discussion of next years program of races and events.
     
f) Any other item brought up by anyone present at the meeting.
7 The Officers of the SDCRA:-
     
a) consists of a Chairman, a Membership Secretary, a Sponsorship Secretary, a Secretary, an Events Secretary and a Treasurer and up to 3 other persons performing duties as proposed at the Annual General Meeting by the committee.
     
b) need not be Members of the SDCRA but can be a Permanent Crew of a boat who’s Skipper/Owner is a Member.
     
c) are to be elected at the Annual General Meeting each year and shall hold office for one year, retiring at the termination of the Annual General Meeting each year.
     
d) are eligible for re-election except that the chairman may only hold that office for three consecutive years.
     
e) can, in the event of a post not being filled at an Annual General Meeting or a vacancy occurring between Annual General Meetings, be co-opted to serve until the next Annual General Meeting.
     
f) if not a Member then they will automatically receive Honorary Membership at no charge for the duration of their being an Officer.
8 Officers:-
     
a) shall when transacting business of the SDCRA, disclose to third parties that they are acting on behalf of the SDCRA.
     
b) act as agent for the SDCRA or its Members and shall enter into contracts only so far as expressly authorised, or authorised by implication, by the Members.
     
c) shall not, without the express authority of the Membership at a General Meeting, put the SDCRA into debt.
     
d) shall take out insurance to protect within reason the interests of the SDCRA, its Officers and its Members.
     
e) in pursuance of the authority vested in the Committee by Members of the SDCRA, Members of the Committee are entitled to be indemnified by the Members of the SDCRA against any liabilities properly incurred by them or any one of them on behalf of the SDCRA wherever the contract is of a duly authorised nature or could be assumed to be of a duly authorised nature and entered into on behalf of the SDCRA.
9 The Secretary shall:-
     
a) Conduct the correspondence of the SDCRA
     
b) Keep custody of all club documents
     
c) Keep minutes of all meetings of the SDCRA and the Committee which shall be confirmed and signed by the appropriate Chairman upon the agreement of the SDCRA or the Committee at the next following meeting
10 The Membership Secretary shall keep a register of club Members' names and addresses and e-mail addresses.
11 The Treasurer shall:-
     
a) Keep such books of accounts as are necessary to give a true and fair view of the state of the finances of the SDCRA.
     
b) Make all returns as may be required by law in relation to such accounts to be rendered at the due time.
     
c) Prepare an Annual Balance Sheet as at October 31 in each year and cause such Balance Sheet (and accounts as necessary) to be audited and to be made available prior to the Annual General Meeting.
12 The Sponsorship Secretary will try to arrange suitable sponsors for the events.
13 The events Secretary shall from the sailing programs of South Devon Yacht or Sailing Clubs advise on suitable races to form a series.
14 The Honorary Auditors shall:-
     
a) be appointed at the Annual General Meeting in each year.
     
b) the auditors shall audit the accounts of the SDCRA when called upon to do so and shall give such certificate of assurance as to the accuracy of the said accounts as shall be required by law or by the Committee.
     
c) if they are unwilling or unable to act, inform the Committee who shall appoint a substitute to hold office until the termination of the next Annual General Meeting.
15 The rules for the Committee are as follows:-
     
a) It shall meet at least every three times a year
     
b) It shall make arrangements as to the conduct, place of assembly and holding of such meetings as it may wish.
     
c) The Chairman or in his absence a Chairman elected by those present shall preside.
     
d) Voting shall be by show of hands. In the case of equality of votes the Chairman shall have a second and casting vote.
     
e) There shall be at least 3 committee Members present to form a committee
     
f) It shall manage the affairs of the SDCRA according to the Rules and shall cause the funds of the SDCRA to be applied solely to the objects of the SDCRA or for a benevolent or charitable purpose nominated at a General Meeting.
16 If, upon the winding up or dissolution' Of the SDCRA, there remains after the satisfaction of all its debts and liabilities any property whatsoever, the same shall not be paid to or distributed amongst the Members of the SDCRA but shall be given or transferred to some other institution or institutions having objects similar to the objects of the SDCRA, such institution or institutions to be determined by the Members of the SDCRA by Resolution passed at a General Meeting at or before the time of the dissolution and if and so far as, effect cannot be given to such provision then to some charitable object.
